Do you have or need a Nevada Corporate Resident Agent?

Nevada requires all entities to have a registered agent whose responsibility (among others) is to accept proper service of legal documents for its client. According to the State of Nevada under *Nevada Revised Statue 78.090 *"every registered agent must have a street address for the service of process, and may have a separate mailing address such as a post office box, which may be different from the street address. All legal process and demand or notice authorized by law to be served upon a corporation may be served upon the registered agent of the corporation in the manner provided in subsection 2 of NRS 14.020."

  2. Does your R/A forget to return your phone calls?
  3. Does your R/A miss filing dead lines?
  4. Does your R/A hold mail and not promptly forward it to you?
  5. Does your R/A charge you mailing, processing, handling or document preparations fees?
  6. Does your R/A spend as much time trying to sell you something else "that they say you need" as they do at handling the jobs you already have hired them to do?
  7. Do you spend as money on your R/A as you do your vacation?
  8. Are you your own R/A and are you worried about being embarrassed about being served legal papers at home in front of friends and family?
  9. Are you your own R/A and concerned that your personal address and information is available on the web for anyone, anywhere to look up?

If you answered YES to any of the above questions, then your R/A may not have your best interests. Unfortunately, some Nevada Resident Agent services are designed ONLY to sell you services and products that you may or may not need. On going service support is limited to up selling you additional products and services. As soon as you stop buying new products, they stop supporting existing products.
You may be asking "Do I need a Resident Agent and can I just be my own." Question One is YES and question two is MAYBE. The State Of Nevada requires that all companies doing business in Nevada or Incorporated (including LLC, LLP, LP and PC) have an In State Resident Agent. Many people wrongly assume that they can open up a mailbox with us or someone other mail center and then list themselves as the resident agent when they live in another state. If you do this and there is attempt to serve you, since you are not residing with in the State it could result in default service. Basically you could be sued, never know it and lose the case because you never responded. And it could subject your company and you to legal action by the Secretary of State and or Attorney General. Many people take this route and many people take on hugh risks of having their company declared an illegal entity and losing a portion of their gains be forming a Nevada entity in the first place. If you live in another state, think carefully about listing yourself as the Resident Agent.

One extremely common up sale is for R/As to tell out of state clients that they have to file a Clark County DBA for their corporation even if the corporation is doing business in it's own name. The R/A will then charge the client $100 to $500 or more for preparing and filing this paperwork. (1) If the company is doing business exactly in it's name, it does not need a DBA. (2) The filing fee for a DBA is $25 plus a trip to the clerk's office plus 5 minutes to complete. Is all that really worth hundreds of dollars?????? And most importantly, why pay for this when you may not even need it? If you need it, we can help you, if you do not, then do not buy it. In some cases, clients have reported that previous R/A services charged them an ANNUAL DBA fee. DBA's with Clark County Nevada are valid for 5 years.

We do not charge extra for standard mail to mail your annual paperwork to you and we do not charge extra to receive your paperwork and re-mail it to the Nevada Secretary of State. We do not charge document preparation fees, or handling fees, or copying fees.

Postal Plus Express will not sell you anything you do not need because we are not in the business of selling Corporations. We are in the Mailbox Rental and Mail Receiving/Forwarding business. We provide Resident Agent services to our mailbox customers. We do not employ high-paid pressure salespeople, we do not have fancy office space with fancy price tags - all items that have to get paid for out of sales income. Out of your pocket.

We are a small locally owned Mail/Shipping store. We will provide the same attention to your Resident Agent needs as we do to our mailbox services. And we will never sell you anything you do not need. That is neither our business area nor our business objectives.

Concerned about putting all your eggs in one basket? We Do Not provide Bookkeeping services, Legal or Tax Advise, Tax Filings, D&B Filings, or Corporate Credit Packages. We can connect you with third parties who specialize in these matters, but we do not know these areas; and most importantly we are not licensed or qualified to provide services in these areas. We do what we do very well.

Another area of concern should be "Free Resident Agent" deals. As a businessperson, you know your business will not survive on giving away your services, so look for the hook. A few Resident Agents Services will offer you Free Resident Agent, but require you to purchase additional services and products. Services and products you may not need. You may end up spending more on extra services then the cost savings of the Resident Agents Services anyway. At Postal Plus Express we only sell you what you need without expensive bundling. So before you select a "Free Resident Agent", check for the total cost, including services you do not need.

Another area to be watchful for: Resident Agents who charge extra (often hidden fees) for filing the Annual Officers/Member List. For Most Nevada entities, the annual fee is $125.00. However, a few agent services charge $175 (or more) and they tell you you have to pay them because they have to pay the Secretary of State. This is flat out wrong! The fee is normally $125, and you can pay the NSOS directly. There is no reason to write the check to the R/A so they can pay the fee for you. In fact, we prefer that you send your check or credit card authorization directly to NSOS. This assures you are not over paying and it eliminates a point of failure. If we are never handling your money, you do not to worry that we are going to steal your money!!
